Introduction and Acceptance

Welcome to Macruit. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Whatmaction, operating as Macruit ("Macruit," "we," "us," or "our").

These Terms govern your access to and use of our website (https://macruit.com/), our SaaS platform, web applications, dashboards, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

Account Registration and Responsibilities

To access certain features of the Macruit platform, you must register for an account. You agree to:

  • Provide Accurate Information: Ensure that your registration details are true, accurate, and current.
  • Maintain Security: Keep your login credentials confidential. You are responsible for all activities that occur under your account.
  • Notify Us: Immediately notify us at support@macruit.com if you suspect any unauthorized use of your account.
  • Account Suspension: Macruit reserves the right to disable, suspend, or terminate your account at our sole discretion if we detect suspicious activity, non-payment, or a violation of these Terms.

SaaS Access and Usage Rights

A. License to Use

Subject to these Terms, Macruit grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal business purposes (i.e., recruitment and hiring).

B. Prohibited Conduct

You agree not to:

  • Reverse Engineer: Decompile, reverse engineer, or attempt to extract the source code of the Platform.
  • Misuse the Platform: Use the Services for unsolicited marketing (spam), harassment, or illegal activities.
  • Scrape Data: Use bots, scrapers, or automated tools to access or extract data from the Services.
  • Harm the System: Introduce viruses, malware, or any code designed to disrupt the Platform’s functionality.
  • Resell: Sublicense, resell, or exploit the Services for commercial gain without our written permission.

Intellectual Property Rights

A. Macruit’s IP

All content, features, and functionality of the Services—including but not limited to software code, algorithms, UI design, logos, graphics, and documentation—are the exclusive property of Whatmaction and its licensors. They are protected by copyright, trademark, and other intellectual property laws.

B. Your Content (User Data)

You retain ownership of the data, files, and information you upload to the Platform (e.g., job descriptions, candidate data, company logos). By uploading this content, you grant Macruit a license to process, store, and display this data solely to provide the Services to you.

Subscription and Payment (If Applicable)

  • Fees: Certain features of Macruit may require a paid subscription. You agree to pay all applicable fees in accordance with the pricing terms presented at the time of purchase.
  • Taxes: You are responsible for any applicable taxes (e.g., GST) associated with your use of the Services.
  • Changes: We reserve the right to modify our pricing at any time. We will provide notice before any price change affects your existing subscription.

Disclaimers

"As Is" and "As Available"

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Macruit explicitly disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

No Guarantee of Results

Macruit is a tool to assist in the hiring process. We do not guarantee that use of the Platform will result in successful hires, nor do we verify the accuracy of candidate profiles or resumes parsed by the system.

Limitation of Liability

To the fullest extent permitted by applicable law:

  • Indirect Damages: Macruit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill.
  • Liability Cap: In no event shall Macruit’s total cumulative liability for all claims arising out of or related to these Terms or the Service, whether in contract, tort (including negligence), or otherwise, exceed the fixed sum of One Hundred United States Dollars ($100.00 USD).

Indemnification

You agree to indemnify, defend, and hold harmless Whatmaction, its owner, employees, and partners from any claims, liabilities, damages, and expenses (including legal fees) arising out of:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your violation of any third-party rights (including candidate privacy rights).

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

Time Limit for Legal Actions

You agree that any cause of action arising out of or related to the Services must commence within six (6) months after the cause of action accrues. Otherwise, such cause of action is permanently barred.
